2.0 INFORMATION OF THE PROJECT

The Project cost is estimated to be at a provisional amount of RINGGIT MALAYSIA : EIGHT MILLION (RM8,000,000.00) ONLY based on the Main Contractor scope of works.The actual cost of the Project is still under negotiation and will be confirmed upon the issuance of the Letter of Acceptance which is expected to be received soon.Works on site however have commenced with the site posession on 17th August 2010.The date of completion shall be by end of October 2010.

3.0  INFORMATION OF KEDAH SATO SDN BHD

Kedah Sato Sdn Bhd (KSSB) is a wholly owned subsidiary of BDB . The Company is a Class A contractor principally involved in in building and general constructions.

4.0 FINANCIAL EFFECT

The Project is expected to contribute positively to the Group earnings for the financial year 2010 and in the best interest of the Company.

5.0 INFORMATION ON RELATED PARTY

PKNK was established as a State statutory Corporation on 25th August 1965 pursuant to the Kedah State Development Corporation Enactment No. 5 1965 and is a major shareholder  of BDB with a holding of 59.94% of the total issued and paid up capital of BDB.

5.0 DIRECTORS AND SUBSTANTIAL SHAREHOLDER'S INTEREST

Y.Bhg Dato' Abdul Rahman Bin Ibrahim who sits on the Board of Directors of BDB as a Non Executive and Non Independent Director is the Chief Executive Officer of PKNK, the major shareholder of BDB. 

Save as the above, none of the directors and/or shareholders of BDB and person connected to him has any interest , direct or indirect in the said Contract.

6.0 STATEMENT BY DIRECTORS

The Board of Directors of BDB is of the opinion that the Project is in the best interest of the Company and the Group.
